1. Services & Scope

Visionary Edge Ventures LLC ("Visionary Edge," "we," "us") provides AI-powered business growth systems across three primary package tiers, each with a defined standard scope:

Foundation, includes a conversion-focused website (up to 5 pages), CRM setup, basic sales pipeline, lead capture, online booking, missed call text-back, core lead follow-up automation, and review/reputation infrastructure.

Growth System, includes everything in Foundation plus an expanded website (up to approximately 10 strategic pages), advanced CRM architecture, advanced lead nurture, AI website conversation, AI lead qualification, estimate/proposal follow-up, database reactivation infrastructure, advanced reputation workflows, customer retention systems, advanced pipeline automation, and a quarterly growth systems review.

Intelligent Growth, includes everything in Growth System plus advanced AI architecture, AI Receptionist / Voice AI, advanced customer journey automation, multiple pipelines, advanced segmentation, retention architecture, custom workflow architecture, custom integrations (where feasible), and executive reporting. Because this package may involve advanced AI, custom integrations, and complex system architecture, scope is confirmed through a systems conversation before the engagement is finalized.

Any work outside the published standard scope of the selected package, including highly customized systems, advanced integrations, significant data migration, unusual technical requirements, or custom development, may require a separate proposal and additional investment.

2. Implementation & Delivery

Implementation work begins after purchase. Any timelines provided are estimates and may vary based on the complexity of the engagement, the responsiveness of the client, and the availability of required information, assets, and access. Active client participation is required throughout the implementation process, including providing business information, brand assets, access to existing systems, feedback on deliverables, and timely review of work in progress.

3. Fees, Billing & Payment

Each package consists of a one-time implementation fee due at the time of purchase and a recurring monthly subscription fee. The monthly subscription recurs on the same calendar date each month as the original purchase. Payments are processed through Stripe. In the event of a failed payment, automated retry attempts will be made; continued payment failure may result in suspension of services until the outstanding balance is resolved. Any changes to pricing will be communicated with at least 30 days' notice before the change takes effect.

4. Variable Usage Charges

Certain services incur variable usage charges based on actual consumption or third-party provider pricing. These may include, but are not limited to: SMS messaging, phone calls, phone numbers, email volume, A2P (Application-to-Person) registration, conversational AI, Voice AI, premium AI models, third-party applications and integrations, and API usage. No metered service is unlimited unless explicitly stated in writing in your service agreement. Where possible, billing for usage-based services will be transparent and based on actual usage or agreed allowances.

5. Cancellation

Either party may cancel the monthly subscription with 30 days' written notice sent to hello@visionaryedgeventures.com, provided the notice is received before the next billing date. Access to the platform and included services continues through the end of the paid period. The implementation fee is non-transferable once work has commenced.

6. Refund Policy

All sales are final. Implementation fees are non-refundable once work has commenced. Monthly subscription fees are non-refundable for the current billing period. Any requests or questions regarding billing should be directed to hello@visionaryedgeventures.com.

7. Intellectual Property

The client retains ownership of all content, data, and materials they provide to Visionary Edge. Visionary Edge retains ownership of its methodologies, frameworks, templates, tools, systems, and proprietary processes. Deliverables created within the client's accounts (such as CRM configurations, workflows, website builds, and automation) become the property of the client upon full payment of all applicable fees. Visionary Edge may reference the client's name and results for portfolio and marketing purposes unless the client objects in writing.

8. Limitation of Liability

Visionary Edge Ventures LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Total liability is capped at the equivalent of three (3) months of fees paid by the client. Visionary Edge does not guarantee specific revenue, lead volume, conversion rates, or any particular business outcome as a result of using our services.

9. Data & Privacy

Data collected through our services is used for the purpose of delivering and maintaining the agreed-upon systems. Client data remains the property of the client. Third-party platforms used in the delivery of services (including payment processing via Stripe) are governed by their own terms of service and privacy policies. Purchase of services implies consent to receive transactional communications related to your account and service delivery.

10. General

These Terms of Service are governed by the laws of the State of Florida. In the event of a dispute, the parties agree to first attempt good-faith negotiation; if unresolved, the dispute shall be submitted to binding arbitration in Manatee County, Florida.
